Terms of Service

These Terms of Service ("Terms") govern access to and use of the Panopt Security website, account portal, contact forms, service request workflows, online resources, downloadable materials, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. About Panopt Security Services
Panopt Security provides cybersecurity consulting, security program support, technical advisory, identity and access review, vulnerability management guidance, incident readiness, policy and governance support, and related services. Specific paid services, deliverables, access rights, confidentiality obligations, payment terms, and project responsibilities may be governed by a separate written agreement, statement of work, order, proposal, or master services agreement.
2. Eligibility and Authority
You may use the Services only if you have legal capacity to enter into these Terms and, when acting for an organization, authority to bind or act on behalf of that organization. You are responsible for ensuring that information you submit is accurate, lawful, authorized, and appropriate for the purpose submitted.
3. Accounts and Credentials
Some features may require authentication or account access. You are responsible for safeguarding credentials, tokens, devices, sessions, multi-factor authentication methods, and any activity under your account. You must promptly report suspected compromise, unauthorized access, incorrect permissions, or misuse. Panopt Security may suspend, restrict, revoke, or modify access when necessary to protect security, availability, integrity, users, customers, or systems.
4. Acceptable Use
You agree to use the Services only for lawful business purposes and in a manner consistent with these Terms. You may not misuse forms, upload malicious content, submit false information, impersonate others, attempt unauthorized access, bypass authentication, scrape protected resources, probe or scan systems without authorization, interfere with availability, distribute malware, exploit vulnerabilities, harass users, violate intellectual property rights, or use the Services to support unlawful, harmful, deceptive, or abusive activity.
5. Security Testing and Research
No security testing, vulnerability scanning, penetration testing, automated probing, credential testing, denial-of-service testing, exploit execution, or similar activity may be performed against Panopt Security systems unless expressly authorized in writing by Panopt Security. Public availability of a system, form, endpoint, or API does not create permission to test it.
6. Submissions, Files, and User Content
You retain ownership of content you submit, subject to any separate agreement. You grant Panopt Security a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, and use submitted content as reasonably necessary to operate the Services, respond to requests, provide support, perform security work, maintain records, and comply with legal or contractual obligations. Do not submit content you are not authorized to provide.
7. Confidentiality and Sensitive Information
Cybersecurity work can involve confidential, regulated, proprietary, or security-sensitive information. Users must avoid submitting unnecessary secrets, passwords, private keys, regulated data, customer data, or personal data unless required for an authorized purpose and through an approved channel. Panopt Security may remove, restrict, quarantine, or handle submissions as needed to reduce risk.
8. Intellectual Property
The Services, website design, text, graphics, logos, icons, images, code, scripts, documentation, workflows, templates, reports, methodologies, and other materials are owned by Panopt Security or its licensors unless otherwise stated. No rights are granted except as expressly provided in these Terms or a separate written agreement. You may not copy, modify, distribute, sell, sublicense, reverse engineer, or create derivative works from Panopt Security materials except as authorized.
9. Third-Party Services and Links
The Services may link to or integrate with third-party websites, authentication providers, ticketing systems, hosting providers, analytics, payment processors, cloud platforms, or security tools. Panopt Security is not responsible for third-party content, terms, privacy practices, security, outages, or changes. Use of third-party services may be governed by their own terms.
10. Availability and Changes
Panopt Security may update, modify, suspend, replace, restrict, or discontinue any part of the Services at any time. We may also apply maintenance, emergency changes, rate limits, security controls, or access restrictions without notice when needed to protect systems or users.
11. Disclaimers
The Services are provided on an "as is" and "as available" basis unless a separate written agreement states otherwise. Panopt Security disclaims all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, error-free operation, and absolute security. Cybersecurity advice and tools reduce risk but cannot eliminate risk or guarantee prevention of compromise.
12. Limitation of Liability
To the maximum extent permitted by law, Panopt Security and its owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, security incidents, or costs of substitute services. Unless a separate written agreement states otherwise, Panopt Security's total liability for claims relating to the Services will not exceed the amount you paid to Panopt Security for the specific Service giving rise to the claim during the three months before the event giving rise to liability, or one hundred dollars if no amount was paid.
13. Indemnification
You agree to defend, indemnify, and hold harmless Panopt Security from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorney fees, arising from your misuse of the Services, unauthorized submissions, violation of these Terms, violation of law, infringement of rights, or activity conducted through your account or organization.
14. Suspension and Termination
Panopt Security may suspend or terminate access to the Services at any time when activity appears unauthorized, abusive, risky, unlawful, fraudulent, harmful, or inconsistent with these Terms or a separate agreement. Provisions that by their nature should survive termination will survive, including intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute, and governing law provisions.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law rules, unless a separate written agreement states otherwise. Courts located in Tennessee will have exclusive jurisdiction and venue for disputes arising from these Terms or the Services, unless applicable law requires otherwise.
16. Changes to Terms
Panopt Security may update these Terms at any time by posting the revised version. Changes are effective when posted unless a later effective date is stated. Continued use of the Services after changes are posted means you accept the updated Terms.
